Terms of Service

1. Acceptance of Terms

By accessing or using the Syncpulse platform and services provided by Sync Pulse PVT LTD ('Company', 'we', 'us'), you ('Client', 'User') agree to be bound by these Terms of Service ('Terms'). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

These Terms constitute a legally binding agreement between you and Sync Pulse PVT LTD, a company incorporated under the Companies Act 2013, with its registered office at DAV Public School, Post Box No. 78, Chanraskhilla Road, Bengaluru, Bangalore East, Karnataka 560035, India.

2. Description of Services

Syncpulse provides a cloud-based enterprise data synchronization and automation platform ('Platform') that enables businesses to connect, synchronize, and automate data flows between disparate business systems. Services include:

• Real-time data synchronization between enterprise systems
• Workflow automation and business process orchestration
• Pulse Analytics and business intelligence dashboards
• API gateway and integration management
• Professional implementation and support services

Services are provided on a subscription basis as described in the applicable Order Form or subscription plan selected by the Client.

3. Account Registration

To access the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Notify us immediately of any unauthorized use of your account
• Ensure that all users under your account comply with these Terms
• Not share account credentials with unauthorized third parties
• Use a strong password and enable multi-factor authentication where available

4. Acceptable Use

You agree to use the Platform only for lawful business purposes. You must not:

• Use the Platform to process data in violation of applicable Indian laws or regulations
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure
• Reverse engineer, decompile, or disassemble any component of the Platform
• Use the Platform to transmit malware, spam, or any harmful content
• Resell, sublicense, or otherwise transfer access to the Platform without our written consent
• Use the Platform in a manner that could damage, disable, or impair our infrastructure

5. Subscription and Payment

Access to the Platform is subject to payment of applicable subscription fees as set out in the selected plan or Order Form.

• Billing Cycle: Subscriptions are billed monthly or annually as selected at the time of purchase
• Currency: All fees are quoted and charged in Indian Rupees (INR) inclusive of applicable GST
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled in accordance with our Cancellation Policy
• Price Changes: We will provide 30 days' written notice before any price increase takes effect
• Taxes: You are responsible for all applicable taxes beyond GST collected by us

6. Intellectual Property

All intellectual property rights in the Syncpulse Platform, including software, algorithms, user interfaces, documentation, and branding, are and remain the exclusive property of Sync Pulse PVT LTD. These Terms do not grant you any ownership rights in the Platform.

You retain full ownership of all data you input into or process through the Platform ('Client Data'). You grant us a limited, non-exclusive licence to process Client Data solely for the purpose of delivering the contracted services.

7. Confidentiality

Each party agrees to keep confidential all non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation survives termination of these Terms for a period of 5 years. Confidential information does not include information that is publicly known, independently developed, or rightfully received from a third party without restriction.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• We do not warrant that the Platform will be error-free or uninterrupted, although we commit to the uptime SLA specified in your subscription plan

9. Indemnification

You agree to indemnify, defend, and hold harmless Sync Pulse PVT LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party intellectual property rights; or (d) any data you process through the Platform.

10. Termination

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving written notice. We may suspend or terminate your access immediately if we determine that your use poses a security risk or violates applicable law. Upon termination, your right to access the Platform ceases and you must cease all use. For data retrieval post-termination, refer to our Cancellation Policy.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' written notice to registered users before material changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must discontinue use and may cancel your subscription in accordance with our Cancellation Policy.
